Terms of Service

This Membership Agreement ("Agreement", "Terms of Service", "TOS") is entered into by and between Zlex XQ LLC ("we", "us", "our") and the individual or entity ("User", "Member", "you") creating an account or using our products, websites, and services. Our core platforms include, but are not limited to, any Survey panel operated by Zlex XQ LLC, hereafter collectively referred to as the "Service".

By accessing or using our Service, you agree to be bound by these terms. Zlex XQ LLC reserves the right, in its sole discretion, to change, modify, add, or remove all or part of this Agreement at any time and for any reason. Your continued use of the Zlex XQ LLC websites or services following the posting of an updated agreement will constitute a binding acceptance of the updated agreement.

1. General Terms & Account Use

1.1 Eligibility and Enrollment

By using the Service, you represent and warrant that you can read and understand English and are at least 13 years of age. If you are between the ages of 13 and 18, you represent that you have obtained the consent of a parent or legal guardian to use the Service.

1.2 Account Security

If you create an account on any Zlex XQ LLC Website, you are responsible for maintaining the security of your account and for all activities that occur under it. The access rights granted to you are non-transferable without the express written permission of a Managing Member of Zlex XQ LLC. You must immediately notify us of any unauthorized uses of your account.

2. Reward Platform Terms

The default currency for any Survey panel operated by Zlex XQ LLC is U.S. Dollars ('USD').

2.1 Virtual Currency and Earning

Any Survey panel operated by Zlex XQ LLC allows members to earn "Points," "Coins," "Experience Points (XP)", "Video Points", or other virtual tokens by completing tasks from third-party advertising partners (Offerwalls).

• No Cash Value: Points, Coins, XP, and other tokens have no monetary or inherent cash value until they are successfully redeemed. They do not constitute property and cannot be transferred or purchased.
• Third-Party Verification: We rely on our partners to verify task completion. We are under no obligation to award you for any specific action unless the relevant third party agrees the action was valid and pays Zlex XQ LLC. If we credit your account in advance and the partner later rejects the completion, we reserve the right to deduct those earnings.
• Payout Minimums & Verification: When your account balance reaches at least $7, you may request a payout (e.g., to an approved PayPal or Crypto Wallet email). We may deduct a percentage fee on certain cryptocurrency payouts. Zlex XQ LLC may require you to provide a completed Form W-9, Form W-8, or submit other account verification information prior to being paid.
• Annual Limits: Members can redeem for a maximum of $10000 worth of rewards (such as gift cards and cryptocurrency) from any Survey panel operated by Zlex XQ LLC per calendar year. Any redemptions beyond this amount will carry over to the following year.
• Bonus Programs & Adjustments: Zlex XQ LLC may offer bonus programs at our discretion, which may be discontinued at any time. We reserve the right to change the number of points/coins required for specific rewards or the values of levels and tokens. Any "prize wheels" or similar mini-games are for entertainment purposes only until a prize is officially credited to your account.

2.2 Payouts and Refunds

2.3 Referral and Promotional Programs

Any Survey panel operated by Zlex XQ LLC may provide you with a unique URL to invite new members or shortened promotional links to share. You agree to the following conditions:

• You will not use any form of indiscriminate advertising ("spamming") to seek referrals.
• You will not promote links alongside content that promotes violence, illegal activity, discrimination, or adult material.
• You will not advertise shortened promotional links directly on paid-to-click or traffic exchange websites, nor incentivize anybody to interact with ads displayed on your links.
• Zlex XQ LLC may invalidate any referral deemed improper. Valid referrals may earn you a percentage of their earnings (e.g., 5%); however, if a referral's earnings are deducted due to a violation, an equivalent deduction will be made from your account.

2.4 Account Suspension and Termination Policy

To maintain the integrity of our platform and ensure the quality of data provided to our partners, Zlex XQ LLC maintains a Zero-Tolerance Policy towards fraudulent activity. We reserve the right to immediately close, ban, or deactivate your account, and forfeit all accumulated earnings, for reasons including but not limited to:

• Automation, Emulation & Proxies: The use of automated scripts, software, bots, device emulators (e.g., Bluestacks), or manipulating your IP address using Proxies or VPN services.
• Multiple Accounts: Creating or operating more than one account per individual or per household IP address to exploit offers or referral systems.
• Deceptive Profiling: Providing false, inconsistent, or misleading demographic and profile information during registration or within surveys.
• Fraudulent Data Activity: Submitting fraudulent data, such as using AI to complete offer requirements or using temporary email services.
• Survey Provider Rejection: Frequent reports of "Poor Quality" responses from survey providers.
• Confidentiality Breach: Sharing screenshots, videos, or other content from any Survey panel operated by Zlex XQ LLC, or sharing lists of our offers or advertising partners, without prior explicit approval.
• Internal Audit Failure: Even in cases where a provider has not yet flagged an account, Zlex XQ LLC reserves the right to ban accounts that fail our internal quality control audits regarding participation patterns or response integrity.
• Discretionary Termination: Zlex XQ LLC may terminate accounts for competing with our services, making inaccurate public statements about our brand, or other undisclosed security or integrity reasons at our sole discretion.

2.5 Inactivity

Zlex XQ LLC reserves the right to terminate your account and forfeit your balance if you have not logged in or earned any valid points/coins for a period of 180 consecutive days.

3. Market Research (MR) Services

3.1 Sample Vendor Terms

If you are a partner or entity providing traffic, users, or respondents to Zlex XQ LLC’s Market Research services ("Sample Vendor"), the following rules apply in conjunction with your specific Master Service Agreement (MSA). In the event of a conflict, the provisions within the signed MSA shall prevail:

• Payment Cycle: Standard payment terms for Sample Vendors operate on a NET-30 to NET-90 schedule, calculated from the end of the billing month in which the service was provided, subject to final client reconciliation.
• Reconciliation & Clawbacks: Zlex XQ LLC and its end-clients (survey providers) reserve the right to review, reject, and invalidate any sample within ninety (90) days of completion. Zlex XQ LLC retains the right to reverse, withhold, or claw back payments to the Vendor for any invalidated sample during this window.
• Quality Assurance & Prohibited Conduct: Vendors are strictly responsible for maintaining high sample quality. Under no circumstances may a Vendor artificially manipulate Incidence Rates (IR), attempt to reverse-engineer survey logic, routing, or parameters, or utilize automated traffic (bots, scripts). Additional operational and quality metrics are detailed in the applicable MSA.

3.2 Survey Respondent Code of Conduct

When participating in market research surveys as a respondent, you must adhere strictly to standard market research industry regulations. You are expected to provide genuine, thoughtful data. Violations will result in immediate survey disqualification, forfeiture of rewards, and potential account termination. Forbidden actions include, but are not limited to:

• Untruthful Answers: Providing false demographic data or fabricated opinions. You must answer truthfully based on your actual life circumstances.
• Speeding: Completing a survey in a timeframe deemed unrealistically fast by the researcher's baseline metrics, indicating you did not read the questions.
• Straight-Lining & Random Clicking: Selecting the same response option repeatedly in grid questions (e.g., selecting all 'A's) or clicking answers randomly without reading the prompts.
• Failed Attention Checks: Missing "red herring" or trap questions designed to verify your attention (e.g., "To show you are reading, please select 'Strongly Agree' for this row").
• Inconsistent Data: Providing answers that contradict your profile or previous answers within the same survey (e.g., stating you own a car, then later stating you do not drive).
• Poor Open-Ended Responses: Entering gibberish, randomly mashing the keyboard, copy-pasting text from other sources, or using Artificial Intelligence (AI) to generate responses for written text-box questions.

4. General Legal Provisions

4.1 Indemnification & Independent Contractors

You agree to indemnify and hold Zlex XQ LLC, its affiliates, and its licensors harmless from any claims, liabilities, losses, expenses, or damages (including attorneys' fees) arising out of your use of the website, submissions to third-party partners, or breach of this Agreement.

The parties to this Agreement are independent contractors. This Agreement will not be construed to create or imply any partnership, agency, or joint venture.

4.2 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" BASIS. ZLEX XQ LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. ZLEX XQ LLC WILL HAVE NO LIABILITY UNDER THIS AGREEMENT BY REASON OF ANY FAILURE OR DELAY IN PERFORMANCE DUE TO CAUSES BEYOND OUR REASONABLE CONTROL, INCLUDING ACTS OF GOD, INTERNET OUTAGES, OR GOVERNMENTAL ACTION.

4.3 Limitation of Liability

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID TO YOU BY ZLEX XQ LLC (OR PAID BY YOU TO US) IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR $50 USD, WHICHEVER IS LESS. IN NO EVENT WILL ZLEX XQ LLC BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

4.4 Governing Law & Severability

Any claim under this Agreement shall be governed by the laws of the State of Wyoming (and/or Massachusetts as applicable to specific operating entities) without regard to its conflict of law provisions. In the event that any provision of this Agreement is held by a court to be unenforceable, the remaining portions will remain in full force and effect.
